Terms of Use

The following terms have the meanings assigned to them below when used in these Terms of Use:

"Platform" means the website soiwise.com, its mobile applications and all associated services operated by Denis Bellerose Services-Conseils inc., doing business as SoiWISE.

"SoiWISE" or "We" means the commercial brand operated by Denis Bellerose Services-Conseils inc. (Quebec Business Number 1164931223), a company incorporated under the laws of Quebec, Canada, with its registered office located at 145A rue du Coutelier, Saint-Augustin-de-Desmaures (Quebec) G3A 2J7, Canada.

"User" or "Candidate" means any natural person who accesses the Platform or uses its services as a professional seeking to develop and showcase their career profile.

"P6 Profile" means the structured professional profile based on SoiWISE's 6-pillar methodology (experiences, skills, education, aspirations, contact information, light references), enhanced by artificial intelligence analysis.

"Light Reference" means a simplified validation of a professional experience by a former colleague or supervisor, consisting of a confirmation and short appreciation submitted by email.

"AI Coach" means the artificial intelligence assistant integrated into the Platform, powered by Anthropic's Claude API, which provides personalized career analyses and advice.

"Account" means the personal space created by a User upon registration on the Platform.

"Content" means any text, data, information, image or other material submitted, published or displayed by a User on the Platform.

"Services" means all functionalities offered by the Platform, including but not limited to P6 Profile building, CV import and analysis, artificial intelligence analysis, career coaching and light references.

"SoiWISE Premium" means the paid subscription granting access to modules P5 (Demonstrated Skills), P6 (Enhanced CV) and P7 (Strategic Guide), billed monthly or annually.

"Stripe" means Stripe Payments Canada, Ltd., a company organized under the laws of British Columbia, Canada, a payment service provider certified PCI-DSS Level 1, acting as a subcontractor for processing payments related to SoiWISE Premium subscriptions.

2.1 Consent

By accessing the Platform or using our Services, you agree to be bound by these Terms of Use, our Privacy Policy and our Data Usage and AI Policy. If you do not accept these terms, you must not use the Platform.

2.2 Legal Capacity

You represent that you are at least 18 years old and have the legal capacity to enter into a binding contract.

2.3 Registration

Registration is required to access the Platform's features. By registering, you consent to the processing of your personal data in accordance with our Privacy Policy and the provisions of Quebec's Act 25 on the protection of personal information (Law 25).

2.4 Modifications

SoiWISE reserves the right to modify these Terms at any time. Modifications will take effect upon publication on the Platform. If the modifications are substantial, we will notify you by email at least 30 days before they take effect. Your continued use of the Platform after the modifications take effect constitutes your acceptance of such modifications. Any withdrawal of consent will be recorded in our consent log in accordance with Law 25.

3.1 Account Creation

To use the Services, you must create an Account by providing accurate, complete and up-to-date information. You are responsible for maintaining the confidentiality of your login credentials.

3.2 Identity Verification

Upon registration, email verification is required via a 6-digit code. SoiWISE reserves the right to request additional verifications to ensure the integrity of the Platform.

3.3 One Account Per Person

Each natural person may only hold one Account. Creating multiple accounts to circumvent Platform rules is prohibited.

3.4 Account Responsibility

You are solely responsible for all activities conducted from your Account. You must immediately notify us of any unauthorized use of your Account or any security breach.

3.5 Authentic Profile

Information in your profile must be accurate and faithfully reflect your actual professional situation. On SoiWISE, artificial intelligence acts as a revealer of your career path, not as a generator of fictitious content. Any deliberate falsification or exaggeration constitutes a violation of these Terms.

4.1 Professional Profile

The Platform allows Candidates to build a structured professional profile based on 7 pillars: experiences, skills, education, career aspirations, contact information, light references and strategic guidance. This profile is enhanced by artificial intelligence analysis that reveals key skills and career strengths.

4.2 CV Import and Analysis

Candidates can import their CV in PDF format. The Platform analyzes the document using artificial intelligence (Anthropic's Claude API) to extract relevant information and pre-fill the profile. The Candidate retains full control over extracted data and may modify it at any time.

4.3 Artificial Intelligence Analysis

The Platform uses artificial intelligence to analyze professional experiences, extract and categorize skills, generate skill tags with scoring, and produce a professional biography. AI acts as a revealer of the career path, not as a content generator. Details of this processing are described in our Data Usage and AI Policy.

4.4 AI Career Coaching

An artificial intelligence assistant is available to provide personalized career advice based on your profile. This advice is provided for informational purposes and does not replace individual professional counseling.

4.5 Light References

Candidates can invite former colleagues or supervisors to validate their professional experiences through a simplified email-based process. Details of this system are described in section 5.

Applicable taxes (GST and QST for Quebec residents) are added at the time of payment. The total amount charged will be clearly displayed before payment confirmation.

4.8 Module P6 — Free Trials

Every registered User is entitled to two (2) free generations of the Enhanced CV (P6) before subscription to SoiWISE Premium becomes required. This count is tracked by a counter associated with your Account. Once these trials are exhausted, access to P6 requires an active SoiWISE Premium subscription.

4.9 Payment Processing and Billing

Payments related to your SoiWISE Premium subscription are processed by Stripe Payments Canada, Ltd. ("Stripe"), a company organized under the laws of British Columbia, Canada, a payment service provider certified PCI-DSS Level 1. SoiWISE does not store or directly process your credit card information. Payment data is collected, processed and retained exclusively by Stripe in accordance with its own terms of service and privacy policy, available at stripe.com/legal and stripe.com/privacy.

By subscribing, you accept Stripe's terms applicable to account holders. SoiWISE issues, through Stripe, invoices compliant with Quebec tax requirements (GST and QST).

4.10 Price Modifications

SoiWISE reserves the right to modify subscription prices at any time. Any price change will be communicated to you by email at least thirty (30) days before it takes effect. Price modifications do not affect ongoing subscriptions until their next renewal date. You may cancel your subscription before the new pricing takes effect if it does not suit you.

4.11 Launch Offer

A launch offer is in effect until October 31, 2026: the first 250 Users subscribing to a SoiWISE Premium subscription benefit from a 30% discount during the first six (6) months of subscription. This offer is limited and cannot be combined with any other promotion. The exact conditions of the offer are specified at the time of subscription.

5.1 Principle

The light reference system allows Candidates to invite former colleagues or supervisors to validate one or more professional experiences. This mechanism aims to strengthen the credibility of the profile through simplified external confirmation.

5.2 Process

The Candidate initiates a reference request by providing the name and email address of the reference person. An invitation email is sent to that person, who may confirm the experience and provide a short appreciation. Participation is entirely voluntary.

5.3 Referent Consent

By submitting a reference request, the Candidate declares that they have obtained verbal or written consent from the reference person before sharing their email address with the Platform. SoiWISE is not responsible for requests sent without prior consent.

5.4 Reference Content

Light references are limited to confirmation of the professional relationship and a short appreciation. They do not constitute a detailed skills assessment or a formal hiring recommendation.

5.5 Visibility and Control

The Candidate retains full control over the visibility of light references in their profile. They can choose to display or hide each reference received.

5.6 Reminders

The Candidate may send a reminder to a reference person who has not yet responded. The number of reminders is limited to prevent any form of harassment. SoiWISE reserves the right to suspend the feature in case of abuse.

6.1 SoiWISE Property

The Platform, including its source code, design, algorithms, texts, logos and all other intellectual property, is the exclusive property of Denis Bellerose Services-Conseils inc. (operating the SoiWISE brand) or its licensors. Any unauthorized reproduction, modification or distribution is strictly prohibited.

6.2 User Content

You retain ownership of any Content you submit on the Platform. By submitting Content, you grant SoiWISE a non-exclusive, worldwide, royalty-free and transferable license to use, display, reproduce and distribute such Content in connection with operating the Platform and providing the Services.

6.3 Limited License

SoiWISE grants you a limited, non-exclusive, non-transferable and revocable license to access the Platform and use the Services in accordance with these Terms.

6.4 Trademarks

"SoiWISE", the SoiWISE logo and any other trademarks appearing on the Platform are trademarks or registered trademarks of Denis Bellerose Services-Conseils inc. (operating the SoiWISE brand). Their use without prior written authorization is prohibited.

Any violation of these Terms may result in temporary suspension or permanent closure of your Account, without notice or compensation. SoiWISE reserves the right to take any appropriate legal action.

8.1 "As Is" Services

The Platform and Services are provided "as is" and "as available." SoiWISE does not guarantee that the Platform will be available in an uninterrupted, secure or error-free manner.

8.2 AI Analysis for Informational Purposes

Analyses, identified skills, scores and recommendations generated by artificial intelligence are provided for informational purposes only. They do not constitute a certified assessment of your professional competencies.

8.3 Non-Professional Coaching

Advice provided by the AI Coach does not replace the services of a career counselor, certified career coach or any other professional. SoiWISE disclaims all liability for decisions made based on such advice.

8.4 Limitation

To the maximum extent permitted by applicable law, SoiWISE shall in no event be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to loss of profits, data, business opportunities or goodwill.

8.5 Maximum Liability

The total liability of Denis Bellerose Services-Conseils inc. (operating the SoiWISE brand) to you for any claim arising from these Terms or the use of the Platform shall not exceed the greater of (a) CAD $100 and (b) the amounts you have paid to SoiWISE during the 12 months preceding the claim.

8.6 Light References

SoiWISE acts as a technological intermediary for the transmission of light reference requests. We are not responsible for the content of references provided by reference persons, nor for the accuracy of the information they contain.

9.1 Termination by User

You may request the deletion of your Account at any time from the "My Account" section of the Platform. Deletion is subject to a 30 calendar day grace period during which you may cancel your request.

Before deletion, you have the option to export all your personal data in JSON format from the "My Account" section, in accordance with your right to data portability under Quebec's Law 25 (art. 27).

9.6 SoiWISE Premium Subscription Cancellation

Cancellation of your SoiWISE Premium subscription is distinct from the deletion of your Account. You may:

9.6.1 7-Day Refund Guarantee

You benefit from a full refund guarantee during the seven (7) days following the initial date of subscription to SoiWISE Premium. To exercise this guarantee, contact us at billing@soiwise.com before the 7-day period expires. The refund will be processed by Stripe within 5 to 10 business days.

9.6.2 Cancellation After the 7-Day Period

Beyond the 7-day period, cancellation of your subscription takes effect at the end of the current period:

No refund, total or partial, is granted for unused periods beyond the 7-day period. This policy aligns with standard SaaS industry practices and allows you to retain full access to SoiWISE Premium modules until the end of the paid period.

9.6.3 Cancellation Procedure

You may cancel your subscription at any time from the "My Account" section of the Platform, which will redirect you to the secure Stripe portal. No cancellation fee is charged.

9.6.4 Reactivation

You may reactivate your subscription at any time, before or after its expiration, from the "My Account" section. If you reactivate before the end of your paid period, your subscription simply resumes its normal course without interruption.

9.6.5 Data Retention After Cancellation

In case of cancellation, access to modules P5, P6 and P7 is suspended at the end of the paid period. Data entered in all modules (P1 to P7) is retained for twelve (12) months after cancellation. Beyond this period, data from modules P5, P6 and P7 may be archived or deleted unless resubscribed.

10.1 Governing Law

These Terms are governed by the laws of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles.

10.2 Jurisdiction

Any dispute arising from these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts of the judicial district of Quebec, Quebec, Canada.

10.3 Mediation

Before initiating any legal proceedings, the parties agree to attempt to resolve their dispute in good faith through mediation. Mediation shall be conducted in accordance with the rules of the Canadian Commercial Arbitration Centre (CCAC) or any other organization agreed upon by the parties.

10.4 Limitation Period

Any claim arising from these Terms must be brought within two (2) years of the event giving rise to the claim, failing which it shall be time-barred.

11.1 Entire Agreement

These Terms, together with the Privacy Policy and the Data Usage and AI Policy, constitute the entire agreement between you and SoiWISE regarding the use of the Platform.

11.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

11.3 Waiver

SoiWISE's failure to exercise a right provided under these Terms does not constitute a waiver of that right.

11.4 Assignment

You may not assign or transfer your rights or obligations arising from these Terms without SoiWISE's prior written consent. SoiWISE may assign its rights and obligations without your consent.

11.5 Force Majeure

SoiWISE shall not be liable for any delay or failure to perform its obligations resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, network failures, cyberattacks, strikes or government measures.

11.6 Communications

By registering on the Platform, you consent to receive electronic communications from SoiWISE related to your Account and the Services. Commercial or promotional communications will only be sent with your express consent, in accordance with Canada's Anti-Spam Legislation (CASL, C-28).

11.7 Language

These Terms are drafted in French and English. In the event of any discrepancy between the two versions, the French version shall prevail.
